Terms of service

M-TAC PRO – TERMS OF SERVICE Last Updated: August 29, 2026 - These Terms of Service ("Agreement") constitute a legally binding contract between M-TAC PRO (hereinafter referred to as the "Agency") and the business entity, organizer, or individual executing a Service Agreement with the Agency (hereinafter referred to as the "Client"). By retaining the Agency for event security, loss prevention, or close protection services, the Client unconditionally agrees to the terms set forth herein.

SCOPE OF SERVICES & B2B PAYMENT SCHEDULES The Agency provides specialized, professional personnel for diverse security deployments. Unless an alternative payment schedule is explicitly negotiated, documented in writing, and signed by authorized representatives of both the Agency and the Client during initial B2B discussions, the following standard payment schedules shall apply based on service category:

 1) Age-Restricted Venues & Engagements (ARV): Invoices for specialized venue deployments are issued immediately upon completion of the scheduled assignment. Payment in full is required within forty-eight (48) hours following the final conclusion of a standalone event, or within forty-eight (48) hours of the final shift of each operational week for ongoing, recurring contracts.

2) All-Ages Public & Private Events: Invoices for Community Events, Festivals, Concerts, Open Air Supper Markets, Rib Fest or private gatherings are issued immediately upon completion of the scheduled assignment. Payment in full is required within forty-eight (48) hours following the official conclusion of the event.

3) Retail Loss Prevention (LP) & Asset Protection: Services rendered for ongoing commercial retail assets shall be billed on a weekly invoicing cycle. Payment in full is due within seven (7) calendar days of the invoice issuance date.

4) Corporate & Commercial Property Security: Standard corporate office and facility deployments are billed on a weekly or bi-weekly cycle. To ensure uninterrupted operational coverage and timely workforce compensation, payment in full is due within seven (7) calendar days of the invoice issuance date.

5) CLOSE PROTECTION OPERATIONS, TRAVEL, & ACCOMMODATIONS:  All Close Protection Operative (CPO) and Executive Protection tasks are subject to stricter logistical and billing guidelines due to the high-liability nature of the assignments:

a) Retainer Fees: The Agency reserves the right to demand an upfront, non-refundable deployment retainer prior to allocating personnel to a Close Protection detail. The remaining balance must be settled within forty-eight (48) hours of project wrap.

b) Client Logistics Responsibility:  If a Close Protection detail requires vehicular travel exceeding a one hundred and fifty (150) kilometre radius from the operative’s designated home station, the Client is responsible for covering all subsequent transit costs.

c) For any travel beyond this 150 km threshold, the Client shall reimburse travel expenses at the current Canada Revenue Agency (CRA) prescribed reasonable kilometric rate (currently $0.73 per kilometre for 2026) for all remaining kilometres driven up to 500 kilometres - unless alternative payment arrangements have been expressly agreed upon in writing by both parties.

d) If a Close Protection detail requires travel beyond practical driving distances, the Client is fully and reasonably responsible for covering all transit costs. This includes, but is not limited to, commercial or private flights, train tickets, long-distance bus fares, or specialized vehicular transportation.

e)  Accommodations and Per Diems: The Client must provide or fully reimburse safe, secure, and clean lodging accommodations for all deployed personnel for the entire duration of the travel detail, alongside reasonable daily per diems for meals and incidental operational expenses.

3.  ADVANCED NOTICE & EMERGENCY DISPATCH SURCHARGES

a)  Standard Booking Window: To ensure appropriate threat profiling, operational planning, and personnel scheduling, the Client must provide a minimum of seventy-two (72) hours advance notice for any requested service.

b)  Urgent Booking Fee: Any request for security coverage received with less than forty-eight (48) hours' notice from the required shift start time shall be deemed an "Emergency Deployment." The Agency reserves the right to apply an Urgent Dispatch Premium Rate to all hours worked on that short-notice deployment.

4. CANCELLATION, POSTPONEMENT, & SHIFT FORFEITURE
Because the Agency dedicates specific licensed professionals to Client schedules, preventing those personnel from accepting alternative operational contracts, cancellations and schedule modifications are subject to the following protective frameworks:

a) Ultra-Short Notice Cancellation (Less than 24 Hours): If the Client cancels, shortens, or indefinitely postpones a scheduled deployment with less than twenty-four (24) hours' notice prior to the scheduled shift start, the Client shall remain fully liable for one hundred percent (100%) of the total cost of the first scheduled shift (or a mandatory four (4) hour minimum charge per assigned operative, whichever is greater).

b) Mid-Notice Cancellation (24 to 72 Hours): Cancellations or scope reductions made between twenty-four (24) and seventy-two (72) hours prior to the scheduled deployment launch are subject to a flat contract administrative fee equal to twenty-five percent (25%) of the total service quote.

c) Force Majeure & Inclement Weather: The Agency recognizes that severe, unforeseen natural events (such as active flooding, severe storms, or torrential rains) may force an event or venue closure. Cancellations due to severe weather are exempt from the 25% Mid-Notice fee if finalized at least twenty-four (24) hours in advance. However, any weather-related cancellation made with less than twenty-four (24) hours' notice remains subject to section 4(a) to ensure mandatory workforce dispatch and labor compliance compensation for the scheduled operatives.

d) On-Site Weather Interruptions & Site Closures: In the event that inclement weather or environmental hazards force a partial or total site closure after operatives have already arrived on site or commenced their shift, billing shall be adjusted as follows:

i)  Active On-Site Standby / Equipment Protection: If the Client requests operatives to remain on site during severe weather to monitor assets, secure equipment, or maintain public safety, all hours spent on site shall be billed at the full standard hourly contract rate until the operatives are officially released and off-site.

ii)  Weather Alerts & Pending Operational Status: Operatives waiting on site during a weather delay or pending operational clearance remain fully on the clock and shall be billed at the full hourly rate for all time spent on standby.

iii)  Early Termination (Under 4 Hours): If a total site shutdown is declared and operatives are released from duty before completing four (4) hours of work, a mandatory four (4) hour minimum shift chargeper assigned operative shall apply.

iv)  Mid-Shift Termination (Over 4 Hours): If a total site shutdown is declared and operatives are released from duty after the four (4) hour mark has passed, the Client shall be billed strictly for the exact total hours worked up to the official time of release.

5.  REGULATORY COMPLIANCE, USE OF FORCE, & EQUIPMENT RESTRAINTS The Agency operates in strict accordance with the Ontario Private Security and Investigative Services Act (PSISA) and the Criminal Code of Canada.

a)  Unarmed Declaration: M-TAC PRO is strictly an unarmed agency. Under no circumstances will any operative carry, wield, or utilize firearms. The Client shall never request, demand, or imply that personnel be armed with lethal weapons.

b)  Defensive Equipment (Batons & Handcuffs): Close Protection Operatives and authorized tactical personnel may carry defensive batons, provided the Agency maintains valid insurance coverage and the individual operative holds valid, accredited training certifications. The deployment or use of a baton is strictly limited to situational self-defence or the defence of a client under immediate physical threat.

c)  Handcuffs & Detention Authority: Operatives may carry handcuffs strictly as an assistive tool to safely detain, control, or secure offenders when executing a lawful citizen's arrest under Section 494 of the Criminal Code of Canada. Handcuffs will only be used when reasonably necessary to protect public safety, prevent escape, or protect the operative until law enforcement arrives on scene.

6.  INTEREST, LATE FEES, AND SERVICE INTERRUPTION

Late Interest: Any invoice left unpaid past its designated category deadline shall accrue interest at a rate of two percent (2%) per month (24% per annum), compounded monthly.

Right to Terminate: If a Client defaults on any active payment cycle, the Agency reserves the absolute legal right to immediately suspend services, remove guards from the site, and terminate active details without liability for any subsequent security breaches or losses incurred by the Client.
